These Terms and Conditions ("Terms") govern your use of the Private Event Manager platform ("Platform") operated at privateeventmanager.com. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Private Event Manager is an invitation-only event management platform that allows event organizers ("Hosts") to manage private, closed events and communicate with invited guests ("Guests") via SMS and in-platform messaging. Access to the Platform is granted either by submitting a public application at privateeventmanager.com/signup/ which is reviewed and approved by a host, or by receiving a direct email invitation from a host.
Your account is personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

SMS notifications are only sent to users who have explicitly opted in by entering a phone number and checking the SMS consent checkbox during registration. Providing a phone number alone does not constitute consent to receive SMS messages.
SMS messages are transactional in nature and relate directly to your use of the Platform, including event invitations, RSVP reminders, pre-event reminders, and cancellation notices.
You may opt out at any time by replying STOP to any message. Your account and event access remain fully active after opting out. You may re-enable SMS at any time by replying START or updating your notification settings in your account profile. Message and data rates may apply.
Applications submitted through the public sign-up form are held for a maximum of 3 days pending host review. If an application is not approved within 3 days, it is automatically and permanently deleted from our systems and the applicant will receive a final email confirming their information has been removed. Declined applications are also permanently deleted immediately. We do not retain personal information for unapproved or declined applicants.
Applicants are welcome to reapply as many times as they wish. There is no limit on reapplication.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at privateeventmanager.com/privacy-policy.

The Private Event Manager platform, including its software, design, and content, is our proprietary property. You may not copy, modify, distribute, or create derivative works without our express written permission.
The Platform is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We are not responsible for the content, accuracy, or conduct of Hosts or Guests using the Platform.
To the fullest extent permitted by law, Private Event Manager and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, loss of revenue, or personal injury. Our total liability to you for any claim arising from use of the Platform shall not exceed the amount you have paid us in the preceding 12 months, if any.
You agree to indemnify and hold harmless Private Event Manager and its operators from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another person.
We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Platform ceases immediately.
We may update these Terms from time to time. We will notify registered users of material changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States and the state in which the Platform operator resides, without regard to conflict of law principles.
