These Terms and Conditions (“Terms”) govern your use of the Private Event Manager platform (“Platform”) operated at privateeventmanager.com. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Description

Private Event Manager is an invitation-only event management platform that allows event organizers (“Hosts”) to manage private, closed events and communicate with invited guests (“Guests”) via SMS and in-platform messaging. Access to the Platform is by invitation only — there is no public registration.

2. Eligibility

  • You must be at least 18 years of age to use this Platform.
  • You must have received a valid invitation from a registered Host.
  • You must provide accurate information when completing your profile.
  • You may not use the Platform on behalf of another person without their explicit consent.

3. Accounts and Access

Your account is personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Host Responsibilities

If you use the Platform as a Host, you agree to:

  • Only add phone numbers of individuals who have provided them to you directly and consent to receive SMS communications.
  • Use the Platform only for lawful purposes and private events.
  • Not use the Platform to harass, spam, or contact individuals without their consent.
  • Ensure the events you create comply with all applicable laws and regulations in your jurisdiction.
  • Take responsibility for the content of events you create and communications you send.
  • Maintain the privacy of your guests and not share their contact information outside the Platform.

5. Guest Responsibilities

If you use the Platform as a Guest, you agree to:

  • Use the Platform only for its intended purpose of managing your event attendance.
  • Not attempt to access events you have not been invited to.
  • Keep your account credentials secure.
  • Update your contact information if it changes.

6. SMS Communications

By registering on the Platform, you consent to receive SMS messages as described in our Privacy Policy. These messages are transactional in nature and relate directly to your use of the Platform. You may opt out at any time by replying STOP to any message or removing your phone number from your account settings. Message and data rates may apply.

7. Privacy

8. Prohibited Uses

You may not use the Platform to:

  • Send unsolicited messages or spam
  • Harass, threaten, or harm other users
  • Collect or harvest personal information about other users
  • Impersonate any person or entity
  • Violate any applicable law or regulation
  • Attempt to gain unauthorized access to the Platform or other accounts
  • Interfere with or disrupt the Platform’s operation
  • Use the Platform for any commercial purpose other than its intended use

9. Intellectual Property

The Private Event Manager platform, including its software, design, and content, is our proprietary property. You may not copy, modify, distribute, or create derivative works without our express written permission.

10. Disclaimers

The Platform is provided “as is” without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We are not responsible for the content, accuracy, or conduct of Hosts or Guests using the Platform.

11. Limitation of Liability

To the fullest extent permitted by law, Private Event Manager and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, loss of revenue, or personal injury. Our total liability to you for any claim arising from use of the Platform shall not exceed the amount you have paid us in the preceding 12 months, if any.

12. Indemnification

You agree to indemnify and hold harmless Private Event Manager and its operators from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another person.

13. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Platform ceases immediately.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which the Platform operator resides, without regard to conflict of law principles.
